I was not trying to be cute, just frustrated. I did not
just fall off the turnip truck and have been around
Windows quite a few years.

The driver is a Win_Driver_Prolific_3_2_0_0.  The 
error being reported is:

"This device cannot start. (Code 10)
{Not Enough Quota}
Not enough virtual memory or paging file quota is available to complete the specified operation."

The SAME driver and USB to serial cable work fine on my 64b W7 machine
just not on my W8.1 64b Dell D630.....which accounts for my
frustration. Im not sure what other info I can provide thats
relevant but I would like to solve the problem.

It doesn't help us help you when you just say "no joy". What driver is
device manager showing you have? How about attaching a screen capture
of the driver tab of the programming cable?
